These Terms of Service ("Terms") govern your access to and use of the website, NRS E-Invoicing Readiness Check, demo request forms, and other services (collectively, the "Services") provided by Pronalytics Limited ("Pronalytics", "we", "us", or "our"). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Definitions
"User", "you", or "your" refers to any individual or entity accessing or using the Services. "Content" means any information, text, graphics, or other materials available through the Services. "NRS" means the Nigerian National Revenue Service e-invoicing framework.
2. Use of Services
The Services are intended to help Nigerian businesses assess their readiness for NRS e-invoicing and connect with Pronalytics for advisory or implementation support. You may use the Services only for lawful purposes and in accordance with these Terms.
You agree not to:
- Use the Services in any way that violates any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Services or its underlying systems.
- Use the Services to transmit harmful code, spam, or unsolicited communications.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
3. Demo Requests and Readiness Check
Submitting a demo request or completing the NRS E-Invoicing Readiness Check does not create a binding contract for services. It allows us to understand your needs and follow up with relevant information. Any readiness score or checklist provided is for guidance only and does not constitute legal, tax, or regulatory advice.
4. Intellectual Property
All content, branding, software, and materials available through the Services are owned by Pronalytics Limited or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any part of our content without prior written permission.
5. User Content
Any information you submit through forms, the readiness check, or other interactions is provided voluntarily. You represent that you have the right to provide such information and that it is accurate and not misleading. You grant us a limited licence to use that information to respond to your enquiry, provide the Services, and improve our offerings.
6. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Pronalytics disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. The readiness check results and any materials provided are informational and do not replace professional advice.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pronalytics Limited and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, arising out of or relating to your use of the Services.
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the specific service giving rise to the liability, or one hundred thousand Nigerian Naira (NGN 100,000), whichever is greater.
8. Indemnification
You agree to indemnify and hold harmless Pronalytics Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party right.
9. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all provisions which by their nature should survive termination shall remain in effect.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If not resolved, the dispute shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
11. Changes to Terms
We may modify these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
12. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pronalytics Limited regarding the Services and supersede any prior agreements, understandings, or representations.
